THIS AGREEMENT made and entered into this 9th day of Sept. 1999 by and between the Town of Waterville, a municipal corporation (hereinafter referred to as Town); and Douglas County Fire District No. 1 (hereinafter referred to as District).
RECITALS
1 . Both parties are duly authorized to provide for fire protection services within their respective corporate boundaries.
2. The parties are further authorized to contract with each other for purposes of insuring that fire protection services are available in a manner which enhances public health, welfare and safety.
3. The parties wish to enter into such an agreement so as to provide that the District will provide fire suppression services for Town
NOW THEREFORE, in consideration of the conditions and covenants set forth herein the parties make and enter into the following agreement for the purpose of enabling Town to procure and obtain fire suppression services from District.
IDENTITY OF PARTIES
The Town of Waterville is a municipal corporation duly organized and existing pursuant to the laws of the State of Washington. Its corporate limits are located entirely within the corporate limits of Douglas County Fire District No. 1.
Douglas County Fire District No. 1 is a municipal corporation duly organized and existing pursuant to the laws of the State of Washington. Its principal office and its principal supply of fire suppression equipment is located in the Town of Waterville
SERVICES
District agrees that it will furnish, provide, deliver and administer any and all fire suppression services required by Town and its inhabitants. District shall equip and maintain a class "A" pumper which shall be housed at the District's fire station in Waterville, Washington during the term of this agreement.
Town shall not be responsible for any purchase, lease, acquisition or maintenance of any fire suppression equipment during the term of this agreement unless it otherwise specifically agrees to do so.
All services provided by District to Town shall be provided on the same basis and in the same manner as similar services are provided and delivered elsewhere in the District.
PAYMENT
Town agrees to pay District the sum of $15,000 per year for services provided under this agreement.
The amount of said payment may be either increased or decreased during the term of this agreement by mutual agreement of the parties.
Said payment shall be made in equal, monthly installments.
TERM
The term of this agreement shall commence on the 1st of January, 1997 and shall remain in effect until terminated by either party as herein provided. Either party may terminate this agreement upon ninety (90) days written notice to the other.
INDEMNITY
To the extent of its comparative liability, each party shall indemnify, defend and hold the other party, its departments, elected and appointed officials, employees, and agents, harmless from and against any and all claims, damages, losses and expenses, including attorney's fees, for any bodily injury, sickness, disease, or death, or any damage to or destruction of property, including the loss of use resulting therefrom, which are alleged or proven to be caused in whole or in part by a negligent act or omission of its officers, directors, and employees. This indemnification obligation shall not apply in the limited circumstance where the claim damage, loss and/or expense is caused by the sole negligence of either party.
UNIFORM FIRE CODE
Town agrees that District does not and will not assume any responsibilities for administration and enforcement of the Uniform Fire Code within Town's corporate boundaries.
ASSIGNMENT
No assignment or other transfer of fights or obligations under this agreement shall be made by either party. Any attempted assignment or transfer shall be null, void and of no legal effect.
